When you form a new business structure, there are several IRS related options that will be required. Opening a company bank account is just one of the actions that requires the business have a Federal Employer Identification Number, or EIN. Depending on the type of entity you form, you can elect your own tax status or classification. Corporations can elect Sub Chapter S Status and LLC's can opt to have the entity taxed as a Corporation or even S Corporation. These IRS filings typically involve one or two forms to be properly completed and filed within time constraints (for certain filings).

Tax Status and Classifications

  • S Corporation - Corporations can choose to elect Sub Chapter S tax status, making your business a pass-through tax entity. We will prepare your IRS Form 2553 for you, where you sign and send it to the IRS for processing. For new business entities, this must be completed within 90 days of the filing date of the corporation. Existing businesses must complete this form and file by March 15th of the calendar year.   • LLC Tax Classification - The Limited Liability Company will be taxed as a Sole Proprietor or Partnership (by default), however you can choose to have your LLC taxed as a Corporation and even an S Corporation. This requires that IRS Form 8832 be completed and delivered to the IRS - note the S Corporation election option can only be completed by both 2553 and 8832 forms being prepared and filed with the IRS.
